Charity constitutions in England and Wales are governed by the Charities Act 2011. Charitable Incorporated Organisations (CIOs) were introduced by Part 11 of the Charities Act 2011 and must submit a constitution as their governing document when registering with the Charity Commission. The Charity Commission publishes model constitutions for CIOs (foundation and association models). Charitable purposes must fall within the descriptions set out in Section 3 of the Charities Act 2011. Trustees must comply with their duties under Sections 177-178 of the Act.
